Terms of Service

1. Acceptance of Terms

By accessing AlcaAds, creating an account, connecting a third-party account, or using any part of the Services, you agree to these Terms of Service, our Privacy Policy, our Cookie Policy, and any plan-specific or order-form terms accepted by you or your organization. If you use the Services for an organization, you represent that you have authority to bind that organization, and “you” includes that organization.

If you do not agree, do not access or use the Services. These Terms do not replace terms that apply directly between you and TikTok, payment providers, or other third parties.

2. Eligibility

You must be at least 18 years old and legally able to enter into a binding agreement. The Services are intended for legitimate business and professional advertising use. You may not use the Services if you are prohibited by applicable law, sanctioned or restricted by a competent authority, or previously suspended by AlcaAds for a material breach.

3. Account Registration and Security

You must provide accurate, current account information, keep it updated, and protect all credentials, devices, and authentication factors used to access the Services. You are responsible for activity under your account and for assigning appropriate workspace roles. Promptly notify us at support@alcaads.com if you suspect unauthorized use. AlcaAds may require verification or take protective action where we identify a security risk.

4. Login with TikTok and TikTok Integration

AlcaAds may allow you to sign in with TikTok Login Kit or connect a TikTok advertising account through TikTok's authorized interfaces. When you initiate the connection, TikTok presents the permissions requested by AlcaAds. By completing that authorization, you grant AlcaAds a limited, revocable authorization to access and use the TikTok data and API capabilities made available to the connection only to perform the AlcaAds features you select or use.

This authorization is not a transfer of ownership, does not authorize use outside the Services, and does not allow AlcaAds to access your TikTok password. You may disconnect the account in AlcaAds or revoke permissions through TikTok at any time. Revocation may disable or limit reporting, analytics, campaign-management, and related features.

API usage

You authorize AlcaAds to make API requests, retrieve authorized data, and, where you deliberately enable an action, submit changes to campaigns, ad groups, ads, budgets, bids, schedules, or other eligible advertising settings on your behalf. You remain solely responsible for reviewing proposed actions and for the accuracy, legality, and commercial consequences of any advertising activity. AlcaAds does not guarantee approval, delivery, performance, cost, reach, conversion, or results from TikTok advertising.

5. User Responsibilities and Acceptable Use

You will use the Services only in compliance with these Terms, all applicable laws, TikTok's then-current terms and policies, and the rights of others. You are responsible for all campaign content, targeting parameters, measurement configurations, claims, landing pages, permissions, and data you submit or direct us to process.

Prohibited activities

• Use the Services to violate law, privacy rights, intellectual-property rights, consumer-protection rules, or TikTok policy;
• Access an account, advertiser, pixel, event source, or data set without valid authorization;
• Transmit malware, attempt to bypass access controls, scrape or reverse engineer the Services except where law cannot prohibit it, or interfere with the platform;
• Use the Services to create deceptive, discriminatory, abusive, unlawful, or harmful advertising;
• Resell, sublicense, or make the Services available to an unauthorized third party except as expressly permitted in writing;
• Use TikTok data for an unrelated purpose, sell it, or retain it beyond an authorized purpose;
• Misrepresent an affiliation with AlcaAds or TikTok, or use TikTok trademarks contrary to their brand requirements.

6. Subscription, Payments, and Refunds

Paid features may require a subscription under the plan, price, billing cycle, and payment method shown at checkout or in an order form. You authorize the applicable payment processor to charge recurring fees, taxes, and applicable charges until you cancel or the subscription ends. Fees are stated in the currency presented at purchase and are due in advance unless an order form says otherwise.

Except where required by applicable law or expressly promised in writing, fees are non-refundable once a billing period begins. You may cancel a recurring subscription before the next renewal date; cancellation preserves access through the paid period and does not automatically delete your account or data. Contact support promptly if you believe a charge was unauthorized or incorrect. We may change prices for a future renewal period with reasonable advance notice.

7. Service Availability and Third-Party Services

We work to provide a reliable service but do not promise uninterrupted or error-free availability. Maintenance, updates, security events, network conditions, and third-party dependencies may affect access. We may modify, suspend, or discontinue a feature where reasonably necessary for security, law, or operations.

The Services rely on third-party services, including TikTok and payment providers. Those providers control their own platforms, APIs, permissions, availability, data responses, and policies. AlcaAds is not responsible for third-party services, and a change or outage in a third-party service may affect AlcaAds functionality.

8. Intellectual Property, User Content, and License

AlcaAds and its licensors own all rights in the Services, including software, interfaces, documentation, trademarks, designs, and underlying technology. Subject to these Terms and payment of applicable fees, AlcaAds grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to use the Services for your internal business operations during your subscription period.

You retain rights in the content, advertising materials, and data you provide or control (“User Content”). You grant AlcaAds a limited worldwide license to host, process, reproduce, transmit, and display User Content only as necessary to provide, secure, support, and improve the Services. You represent that you hold the rights and permissions needed for this license and for all instructions you give us. Feedback may be used by AlcaAds without restriction or compensation, provided we do not publicly identify you without permission.

9. Suspension and Termination

You may stop using the Services and cancel your subscription as described above. AlcaAds may suspend or terminate access immediately if we reasonably believe there is a security threat, fraud, a violation of law or TikTok policy, non-payment, abuse, or a material breach of these Terms. Where appropriate, we will provide notice and an opportunity to cure. Upon termination, your license ends and you must stop using the Services. Data handling after closure is governed by the Privacy Policy and Data Deletion Policy.

10. Disclaimer and Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” ALCAADS DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ACCURATE, OR ERROR-FREE. ALCAADS DOES NOT WARRANT ADVERTISING RESULTS OR THIRD-PARTY API DATA.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALCAADS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION. ALCAADS'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE FEES PAID BY YOU TO ALCAADS FOR THE AFFECTED SERVICES IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. These limits do not exclude liability that cannot legally be excluded.

11. Indemnification

You will defend, indemnify, and hold harmless AlcaAds and its personnel from claims, losses, liabilities, damages, and reasonable costs, including legal fees, arising from your User Content, advertising activities, unauthorized use of the Services, breach of these Terms, or violation of law or third-party rights. AlcaAds will provide prompt notice of a claim where practicable and allow you reasonable control of the defense, provided no settlement admits fault or imposes obligations on AlcaAds without its written consent.

12. Governing Law, Disputes, and Changes

These Terms are governed by the laws of the jurisdiction in which the AlcaAds contracting entity has its principal place of business, excluding conflict-of-law rules, except where mandatory consumer or data-protection law provides otherwise. The courts with competent jurisdiction in that place will have exclusive jurisdiction over disputes, unless applicable law requires another forum.

We may update these Terms to reflect changes in the Services, law, or business practices. We will post the revised version and update its effective date. Material changes will be notified through the Services or by other reasonable means where required. Continued use after the effective date constitutes acceptance to the extent permitted by law.
